Terms & Conditions
These terms govern the relationship between CT MEDIA and our clients. By engaging our services, you agree to these terms. Please read them carefully before starting a project.
These terms are written to be fair to both parties. They protect your rights as a client and protect CT MEDIA's rights as a creative agency. If anything is unclear, email us before signing.
1. About CT MEDIA
CT MEDIA is a brand direction and creative agency based in Nottingham, United Kingdom. We provide brand strategy, creative direction, visual identity, and brand presence services to premium and luxury brands globally. These Terms & Conditions ("Terms") apply to all services provided by CT MEDIA to its clients.
2. Scope of Services
The specific services, deliverables, timeline, and fees for each engagement are agreed upon in writing before work begins — either via a signed proposal, project brief, or email confirmation. Nothing in these Terms overrides the specific terms of an agreed proposal.
CT MEDIA reserves the right to decline any project at its discretion. We work with a selective client list and reserve the right to assess fit before confirming an engagement.
3. Payment Terms
Project-based work
All project-based engagements require the following payment structure:
- —50% deposit — is required before any work begins. No work is started until the deposit is received and cleared.
- —50% balance — is due upon delivery of final files and before full ownership of the work is transferred to the client.
Retainer services
Monthly retainer services are invoiced at the start of each month and are due within 7 days of the invoice date. Failure to pay within this window may result in a pause of services until payment is received.
Late payments
Invoices not paid within their due date are subject to a late fee of 5% of the outstanding amount per 14-day period of delay. CT MEDIA reserves the right to pause or terminate the project if payment is significantly overdue.
Currency
All invoices are issued in USD unless otherwise agreed in writing. The client is responsible for any bank transfer fees or currency conversion costs.
4. Revisions
Each project includes two (2) rounds of revisions per deliverable, as defined in the agreed project scope. A revision round is defined as a consolidated set of feedback provided in a single communication — not multiple separate sets of changes.
Revisions beyond the included rounds are charged at a rate agreed upon in the project proposal. CT MEDIA will notify the client before proceeding with additional billable revisions.
Revisions do not include changes that constitute a significant shift in creative direction, scope, or brief. Such changes may be treated as a new project phase and quoted accordingly.
5. Intellectual Property & Ownership
Upon full payment
Upon receipt of full payment, the client receives full ownership of all final, agreed deliverables produced specifically for their project. This includes logo files, brand assets, visual identity documents, and other materials as defined in the project scope.
Until full payment
All creative work, concepts, and materials produced by CT MEDIA remain the intellectual property of CT MEDIA until full payment has been received. The client may not use, reproduce, or publish any work produced by CT MEDIA prior to full payment being cleared.
CT MEDIA portfolio rights
CT MEDIA retains the right to display work completed for clients in its portfolio, on its website, and on social media platforms — unless the client has requested confidentiality in writing prior to project commencement. We will always present work in a manner that respects the client's brand positioning.
Third-party assets
If the project involves licensed fonts, stock images, or third-party assets, the client is responsible for ensuring appropriate licences are obtained for their intended use. CT MEDIA will flag any such assets during the project.
6. Refund Policy
Given the nature of creative services, the following refund policy applies:
- —Before work begins: The deposit is fully refundable if the client cancels before CT MEDIA has commenced work on the project.
- —After work has commenced: No refunds are issued once work has begun. The deposit covers the strategic and creative work invested in the project up to the point of cancellation.
- —Project abandonment by client: If a client goes silent or fails to provide required information for more than 30 days without prior notice, CT MEDIA reserves the right to consider the project abandoned. In this case, the deposit is non-refundable.
If CT MEDIA is unable to complete a project due to circumstances on our end, a fair and proportional refund will be discussed and agreed with the client.
7. Client Responsibilities
To deliver the best possible outcome, the client agrees to:
- —Provide all required information, assets, and approvals in a timely manner as requested by CT MEDIA
- —Consolidate feedback from all relevant stakeholders before submitting a revision round
- —Respond to questions and requests within a reasonable timeframe (typically 5 business days)
- —Ensure that all information and materials provided to CT MEDIA do not infringe the rights of any third party
Delays caused by the client — including late feedback, missing assets, or extended approval processes — may result in timeline adjustments. CT MEDIA will communicate any impact on delivery dates as soon as they become apparent.
8. Confidentiality
CT MEDIA treats all client information as strictly confidential. We will not share, disclose, or discuss client projects, strategies, or business information with any third party without the client's written consent — except where required by law.
The client agrees to keep any proprietary processes, methodologies, or frameworks shared by CT MEDIA during the engagement confidential and not to reproduce or share them without permission.
9. Warranties & Limitations
CT MEDIA warrants that all work delivered is original and created by CT MEDIA or produced with appropriate rights and licences. We do not warrant that the work will achieve specific business outcomes, as results depend on many factors beyond our control.
To the maximum extent permitted by law, CT MEDIA's total liability for any claim arising from a project is limited to the total fees paid by the client for that specific project.
10. Termination
Either party may terminate the engagement with written notice. Upon termination:
- —The client pays for all work completed up to the date of termination, calculated proportionally against the agreed project fee
- —CT MEDIA delivers all completed work in its current state at the time of termination
- —IP ownership remains with CT MEDIA until any outstanding payments are settled
11. Governing Law
These Terms are governed by the laws of the United Kingdom. Any disputes arising from these Terms or a client engagement will first be addressed through direct negotiation in good faith. If unresolved, disputes shall be referred to the competent courts of Nottingham, United Kingdom.
For international clients, CT MEDIA agrees to resolve disputes in a fair and transparent manner and will make reasonable efforts to accommodate the client's jurisdiction where feasible.
12. Changes to These Terms
CT MEDIA reserves the right to update these Terms at any time. The terms in effect at the time of project commencement apply to that specific engagement. Updated terms apply to new engagements from the date of publication.
